Member Agreement

Purpose

This Member Agreement (“Agreement”) governs your participation in the Healthcare Sandbox referral program (the “Program”). By registering as a member and submitting referrals through healthcaresandbox.com, you accept and agree to the terms of this Agreement.

Healthcare Sandbox is operated by Med-Call Healthcare, Inc. Any reference to “we” or “us” refers to Med-Call Healthcare acting through the Healthcare Sandbox program.

Eligibility

To participate as a member, you must:

• Be at least 18 years old
• Have credible knowledge of one or more Illinois healthcare facilities and their staffing needs
• Not be an active employee, agent, or contractor of Med-Call Healthcare
• Comply with any confidentiality or non-compete obligations you owe to your own employer

Member obligations

As a member, you agree to:

• Provide accurate and truthful information about referred facilities and decision-makers
• Only submit referrals for which you have credible, lawfully-obtained information
• Not misrepresent your identity or authority
• Not use the Program to circumvent your own confidentiality, non-solicitation, or non-compete obligations owed to third parties
• Report any material change to your eligibility promptly

Compensation

Compensation is contingent on Med-Call Healthcare’s successful placement of contractors at facilities you have referred. Payouts are structured as follows:

• Single Placement. Members earn $1,250 per successful placement at a referred facility.
• Introduction Bonus. Members who help introduce Med-Call Healthcare to the facility’s decision-maker earn $2,500 per placement.
• Stackable Earnings. Multiple placements at the same referred facility are stackable. There is no cap on total earnings.

Payouts are typically issued within 30 days of the contractor’s first paid shift at the referred facility. Payouts are contingent on Med-Call Healthcare receiving payment from the facility.

Tax status

U.S. members earning $600 or more in a calendar year will receive an IRS Form 1099-NEC. Members are responsible for their own income tax obligations and are not employees of Med-Call Healthcare for any purpose.

Confidentiality

Healthcare Sandbox commits to keeping your identity as a referring member confidential and not sharing it with the referred facility unless you specifically direct us to. This commitment is further described in our Confidentiality Policy.

You in turn agree to keep confidential any non-public information about Med-Call Healthcare’s operations, staffing rates, or client relationships that you learn through your participation in the Program.

No guarantee

Nothing in this Agreement guarantees that any submitted referral will result in a placement or payout. Placements depend on many factors, including the facility’s decision to engage Med-Call Healthcare, the availability of qualified contractors, and completion of contractual formalities.

Termination

Either party may terminate this Agreement at any time. Termination does not affect payouts already earned for placements completed prior to termination. Med-Call Healthcare reserves the right to terminate a member’s participation immediately if the member violates this Agreement, submits fraudulent information, or acts in bad faith.

Governing law and disputes

This Agreement is governed by the laws of the State of Illinois. Any disputes shall be resolved by binding arbitration in accordance with the Terms and Conditions of healthcaresandbox.com.

Changes to this Agreement

Healthcare Sandbox reserves the right to modify this Agreement from time to time. Members will be notified of material changes. Continued participation after notification constitutes acceptance of the modified Agreement.
